Please read these Terms of Service ("Terms") carefully before using the website and services operated by VertexWing Technologies Pvt. Ltd. ("VertexWing", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

VertexWing provides IT services including but not limited to website development, mobile application development, software solutions, cloud services, UI/UX design, and related digital services. Specific deliverables, timelines, and payment terms for each project are governed by a separate Project Agreement or Statement of Work (SOW) signed between the parties.

2. Use of Website

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the site in any way that breaches applicable local, national, or international laws.
• Transmit any unsolicited or unauthorised advertising or promotional material.
• Attempt to gain unauthorised access to any part of our website or systems.
• Reproduce, duplicate, or copy content from our website without prior written consent.

3. Intellectual Property

All content on this website — including text, graphics, logos, images, and software — is the property of VertexWing or its content suppliers and is protected by applicable intellectual property laws. Upon full payment of a project, intellectual property rights for custom deliverables are transferred to the client as specified in the project agreement.

4. Project Agreements

All client projects are governed by a formal agreement that outlines scope, deliverables, timeline, payment milestones, and ownership. In the event of any conflict between these Terms and a project agreement, the project agreement shall prevail.

5. Payment Terms

Unless otherwise agreed in writing, standard payment terms are:

• 50% advance payment before project commencement.
• Remaining balance payable upon project completion and delivery.
• Overdue payments may attract interest at 1.5% per month.

6. Limitation of Liability

To the maximum extent permitted by law, VertexWing shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or website. Our total liability in any matter shall not exceed the amount paid by you for the specific service in question.

7. Confidentiality

Both parties agree to keep confidential all proprietary and sensitive information shared during the course of a project. We sign Non-Disclosure Agreements (NDAs) at the client's request. All project data is handled with strict confidentiality.

8. Warranties

We warrant that our services will be provided with reasonable care and skill. We do not warrant that the website will be error-free or uninterrupted. Services are provided on an "as-is" basis where not otherwise specified in a project agreement.

9. Termination

Either party may terminate a project agreement with written notice as specified therein. Upon termination, the client is liable for payment for all work completed up to the termination date. VertexWing may terminate website access for users who violate these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes are effective upon posting to this page. Your continued use of our services constitutes acceptance of the revised Terms.
